General:

These conditions shall supersede any provisions, terms and conditions contained on any confirmation order or other writing Sir Knight's Castle (Seller) may give or receive. In the event of any discrepancy between these conditions of the seperate signed agreement between the buyer and the seller the provisions of the latter shall prevail.

Payment and delivery:

The full invoice price is payable within 7 days of the end of auction or buy it now sale. If payment on outstanding invoices is overdue the seller reserves the right to relist the item without notice and register an unpaid item dispute.

The seller will endeavour to comply with delivery times and dates however the seller shall not be liable to the buyer for any loss, including but not limited to indirect loss.

Risk:

The risk in goods supplied shall pass to the buyer on delivery to the buyer's designated premises or to the carrier nominated by him (whichever shall first occur).

Passing of property:

Until full payment has been made of all sums outstanding from buyer to seller:

The property of the goods shall remain with the seller.

Force Majeure:

Seller shall not be liable for its failure to execute any order in whole or in part if such failure is due to contingencies beyond its reasonable control, including, without limitation, acts of God, fires, war, acts of terrorism, civil commotion, epidemics, floods,affecting its own office and works or those of its suppliers.

Warranty and Liability:

Seller warrants that the goods supplied meet the specifications in descriptions. All electrical goods should be tested and fitted or installed by a qualified electrician prior to use and are sold as spare or repair only. All other warranties, conditions and other types of terms whether expressed or implied, statutory or otherwise are expressly excluded and the seller shall be under no liability whatsoever for any loss or damage suffered by the buyer. In the event of any claim the sellers liability in no event will not excede the invoiced value of the relevant goods giving rise to the claim.

Claims:

Buyer must make any and all claims for shortage, quality, loss or damage to goods in writting within (10) days of the arrival of such goods at their destination. Buyer shall be prohibited from making any such claims after such (10) day period and buyers retention of goods sold hereunder shall constitute an unqualified acceptance of, and waiver by buyer of any and all claims with respect to the purchase of such goods.

In the event of non-delivery of goods of upon which a claim is based shall not exceed the purchase price of the particular item or invoice.

The seller's liability for damages, wether based upon seller's negligence, breach of contract, breach of warranty, strict liability or otherwise shall not exceed the purchase price of the particular goods or invoice in respect to which a claim is made and shall not include liability for special, incidental, indirect, punitive, or consequential damages.

Additional terms:

Seller retains at all times , the right to reject orders in whole or in part, in its sole descretion. Seller's waiver of any breach or failure to enforce any of the terms and conditions of these conditions of sale shall not affect, limit or waiver seller's right to enforce future compliance. These conditions of sale not be modified, varied or supplemented by any course of dealing, usage of the trade or otherwise except in writing signed by the parties hereto. Any controversy or claim arising out of or related to any order of these conditions of sale, or the performance or breach herof, shall be governed by the laws of England and Wales without giving effect to its choice of laws provisions and any disputes hereunder shall be subject to the exclusive jurisdiction of the courts of England And Wales.
